HEYCHIC Membership Program Terms and Conditions

1. Overview

These HEYCHIC Membership Terms and Conditions (including all Appendices, hereinafter referred to as "these Terms") apply to the HEYCHIC Membership Program (the "HC Program") operated by HEYCHIC Pty Ltd and its Australian-registered affiliates (collectively, "HEYCHIC"). These Terms constitute a legally binding agreement between HEYCHIC and the HEYCHIC Member (hereinafter referred to as "Member" or "you"). Unless otherwise defined herein, certain terms used in these Terms shall have the specific meanings assigned to them in Appendix I (Definitions).

2. Agreement to Terms

Before registering for a HEYCHIC Member Account, please read and thoroughly understand these Terms, particularly those clauses displayed in bold and underlined. By clicking the confirmation button on the registration page or by joining the HC Program through any other method approved by HEYCHIC, you agree to be bound by these Terms.

If you are already a Member at the time these terms take effect, please read them carefully. By continuing to use your HEYCHIC Member Account, you are deemed to have accepted these Terms.

If you do not agree to these Terms or any part thereof, please do not register for or join the HEYCHIC Membership Program and immediately close the registration window. If you are an existing Member, you must cease using your HEYCHIC Member Account immediately upon the Effective Date of these Terms.

3. Registration and Use of Account

3.1 Account Registration

You may register a HEYCHIC Member Account and create a password via the HEYCHIC App, other HEYCHIC online channels, or designated third-party partner ("Partner") channels. You become a Member on the "Account Registration Date."

3.2 Provision of Personal Information

By registering, you agree to provide accurate and complete information as required by our Privacy Policy. You agree to maintain and promptly update your information to ensure it remains accurate, current, and complete.

3.3 Use of Account

Your Account can be used via the HEYCHIC App, the HEYCHIC Australian official website, or other authorized channels. Features and functions are subject to the actual services available on each platform at the time of use.

3.4 Account Security

You are responsible for maintaining the confidentiality of your account information. You must not sell, gift, or lend your account to any third party. You are solely responsible for all activities and actions that occur under your HEYCHIC Member Account.

4. Status Points (Growth Value) Calculation and Accumulation

4.1 Status Points

"Status Points" refer to the points accumulated by a Member in their HEYCHIC Member Account pursuant to Clause 6, which are used to determine the Member's tier.

Unless otherwise expressly provided in these Terms and Conditions, Status Points accumulated in your HEYCHIC Member Account are not redeemable for cash, have no cash value, are non-transferable, and may not be used for any purpose other than those explicitly specified in these Terms and Conditions.

4.2 Accumulation and Recording of Status Points

Following the registration of your HEYCHIC Member Account, Status Points will be calculated and recorded in your account in accordance with Clause 6 whenever you purchase products at HEYCHIC stores participating in the HEYCHIC Membership Program, via the HEYCHIC App, or through any other channels designated by HEYCHIC from time to time as eligible for point accumulation (if any), provided that you present your HEYCHIC Member Account QR code or use other methods designated by HEYCHIC (if any).

Status Points generated from the aforementioned purchases (if any) will be recorded in your HEYCHIC Member Account within 24 hours after the completion of the purchase. If a specific HEYCHIC designated channel has special provisions regarding the time required to record Status Points, the public announcements of such channel shall prevail.

4.3 Conversion of Status Points

HEYCHIC will increase the Status Points in your HEYCHIC Member Account by an amount equal to the points calculated based on the currency amount paid in each purchase using a Valid Payment Method (as defined in Appendix I, the same applies below), in accordance with the Base Conversion Rules (as defined in Appendix I, the same applies below).

HEYCHIC may, from time to time, establish one or more promotional schemes for the conversion of additional Status Points. Such schemes and the rules for converting additional Status Points shall be published on the HEYCHIC Australia official website and/or the HEYCHIC App. Where your purchase is eligible for such promotional schemes, HEYCHIC will increase your HEYCHIC Member Account with the corresponding additional Status Points in accordance with the conversion rules of the respective promotional scheme.

If a single purchase is eligible for multiple promotional schemes for additional Status Points simultaneously, HEYCHIC will convert and record the Status Points in your HEYCHIC Member Account based on the optimal promotional scheme available at that time.

Status Points will be cleared upon the expiry of their validity period or deducted due to a Rescinded Purchase (as defined in Clause 7.1 below, the same applies below) in accordance with these Terms and Conditions.

4.4 Viewing Status Points

You may view the Status Points recorded and accumulated in your HEYCHIC Member Account via the HEYCHIC App and the HEYCHIC Australia official website. The availability of features to view Status Points through other HEYCHIC online channels or partner channels shall be subject to the actual functions available in such channels at the time; however, the Status Points data shall be based on the records displayed on the HEYCHIC App and the HEYCHIC Australia official website.

5. Tokens: Calculation, Accumulation, and Redemption

5.1 Definition of Tokens

Subject to these Terms and Conditions, you may accumulate Tokens through your HEYCHIC Member Account. Tokens are exclusive reward points provided by HEYCHIC to its Members.

Tokens may be earned through shopping rebates (Platinum Members only) or by participating in designated activities such as daily check-ins. Accumulated Tokens may be used to offset purchase amounts across HEYCHIC online and offline channels, or to redeem selected gifts and exclusive benefits in the "Token Mall."

HEYCHIC will continuously update the catalogue of redeemable products and benefits; please refer to the HEYCHIC Australia official website or the HEYCHIC App for details. Unless otherwise provided in these Terms, Tokens in an account do not possess cash value, are not redeemable for cash, are non-transferable, and may not be used for any purpose other than those explicitly specified herein.

5.2 Accumulation and Recording of Tokens

Following the registration of your HEYCHIC Member Account, whenever you purchase products at HEYCHIC stores participating in the HEYCHIC Membership Program, via the HEYCHIC App, or through other channels designated by HEYCHIC as eligible for Token accumulation (if any), HEYCHIC will calculate and record the corresponding number of Tokens in your account provided that you present your HEYCHIC Member Account QR code or use other designated methods.

Tokens generated from such purchases (if any) will be recorded in your HEYCHIC Member Account within 24 hours after the completion of the purchase. If a specific HEYCHIC designated channel has special provisions regarding the recording time, the public announcements of such channel shall prevail.

5.3 Conversion and Accumulation of Tokens

(1) Conversion and Accumulation Rules

- Channel 1 (Purchase Accumulation): When Platinum Members purchase products through the aforementioned methods, HEYCHIC will convert Tokens based on 3% of the actual amount paid in Australian Dollars (AUD) for the order (rounded to the nearest whole number) and credit them to the Member’s account.

- Channel 2 (Interaction Accumulation): When you check in via the HEYCHIC App or the Australia official website, the system will issue corresponding Tokens based on the daily check-in reward rules (calculated based on Australian Eastern Time).

(2) Deduction and Forfeiture

Tokens will be deducted or cleared upon the occurrence of the following: use for order offsets, redemption of designated products/benefits, expiration of validity, or occurrence of a refund.

5.4 Offset and Redemption of Tokens

You may use valid Tokens in your account to offset purchase amounts or redeem designated products and exclusive benefits in accordance with the latest rules published on the HEYCHIC Australia official website or App. Upon completion of the offset or redemption, the corresponding number of Tokens will be deducted from your account.All Token Store redemptions are final. Returns or exchanges are only accepted for quality-related issues.

5.5 Token Inquiry

You may check your Token balance in real-time via the HEYCHIC App or the Australia official website. For inquiries via partner channels or other online channels, the availability of features shall be subject to the actual functions of such channels; in the event of any data discrepancy, the records displayed on the HEYCHIC App and the HEYCHIC Australia official website shall prevail.

6. Membership Tiers and Benefits

6.1 Classic Member

(1) Eligibility:

You automatically become a HEYCHIC Classic Member from the Account Registration Date.

(2) Member Benefits:

- Welcome Gift: Complete all information in Account
- Personal Info to receive a $5 AUD voucher.
- Birthday Gift: Receive a $20 AUD
- Anniversary Gift: Receive a $20 AUD voucher annually based on your account registration date.
- Token Mall: Use Tokens to redeem designated products or benefits.

(3) Status Points Validity and Upgrade Logic:

- Validity: Status Points accumulated by Classic Members are valid for 365 days from the date of acquisition. Any points not converted (i.e., not meeting the upgrade threshold) will be cleared automatically on the 366th day.
- Upgrade Mechanism: If a Classic Member accumulates 500 Status Points within 365 consecutive days, they will be upgraded to a Gold Member immediately.
- Post-Upgrade Transition: On the date of upgrade, original Status Points will be fully retained and transferred to the Gold Member account, and their validity will be reset to 365 days starting from the upgrade date.
- Example: Lisa registers on March 3, 2026. If she only accumulates 150 points by March 2, 2027, those points clear on March 3, 2027. If she reaches 500 points on June 8, 2026, she upgrades to Gold that day; all 500 points are retained with a new expiry date of June 8, 2027.


6.2 Gold Member

(1) Promotion Pathways:

- Tier Promotion: Accumulate 500 Status Points within 365 consecutive days.
- Campaign Promotion: Participate in designated marketing campaigns or purchase specific products as offered by HEYCHIC.

(2) Member Benefits:

- Welcome Gift: $5 AUD voucher upon completing personal info (for first-time claimants only).
- Birthday Gift: $25 AUD voucher annually.
- Anniversary Gift: $25 AUD voucher annually.
- Token Mall: Access to higher-tier products or exclusive benefits for redemption.

(3) Tier Retention and Adjustment (Retention Rules):

Gold Membership is reviewed based on the "Account Year" (as defined in Appendix I). On each Account Anniversary Review Date, the system will adjust the tier based on the previous year's performance:
- Retention: If 200 Status Points were accumulated in the previous year, Gold status is retained for the new year.
- Downgrade: If Status Points are less than 200, the member is downgraded to Classic status from the Review Date.
- Clearing Rule: Regardless of tier changes, original Status Points will be cleared on the Review Date to begin accumulation for the new year.

6.3 Platinum Member

(1) Promotion Pathways:

- Tier Promotion: Gold Members who accumulate 1,500 Status Points within one Account Year will be upgraded in real-time.
- Paid Upgrade: Direct purchase of a Platinum Membership card.
- Monthly Pass (30 days): $9 AUD (includes one $10 AUD voucher).
- Annual Pass (365 days): $49 AUD (includes four $15 AUD vouchers).

(2) Member Benefits:

- Welcome Gift: $5 AUD voucher upon completing personal info.
- Spending Rebate: Exclusive 3% Token cashback (3 Tokens for every $100 AUD spent).
- Birthday Gift: $30 AUD voucher annually.
- Anniversary Gift: $30 AUD voucher annually.
- Token Mall: Priority redemption for Platinum-exclusive limited-edition gifts.

(3) Tier Retention and Adjustment: On each Account Anniversary Review Date:

- Retention: If 800 Status Points were accumulated in the previous year, Platinum status is retained.
- Downgrade: If Status Points are less than 800, the member is downgraded to Gold status from the Review Date.
- Clearing Rule: All accumulated Status Points will be cleared on the Review Date.

7. Rescinded Purchases

7.1 If a completed purchase is rescinded due to product returns, disputes, or error corrections by HEYCHIC ("Rescinded Purchase"):
(1) the refund will generally be returned via the original payment route. If HEYCHIC, laws, or payment institutions have different regulations for refund methods, such regulations shall apply.

8. Termination of HEYCHIC Member Account

8.1 Termination by Member

You may apply to cancel your HEYCHIC Member Account. Your account will be terminated once HEYCHIC accepts your cancellation request.

8.2 Termination by HEYCHIC

HEYCHIC reserves the right to terminate your Member Account immediately if you fail to comply with these Terms and Conditions or use the account in violation of relevant laws and regulations.

8.3 Consequences of Termination

Upon termination, all accumulated Status Points, Tokens, and Member Gifts will be cleared simultaneously. Unless otherwise mandated by law, you will not be entitled to any refund or compensation for forfeited points, tokens, or gifts.

9. Amendments to these Terms and Conditions

9.1 HEYCHIC reserves the right to amend these Terms and Conditions from time to time. HEYCHIC will notify you in an appropriate form or publish the amended Terms on the official website or App in advance, except where prior notice is not possible due to laws and regulations. Amended Terms take effect on the specified Effective Date. You should regularly check for updates.

9.2 Continued use of your HEYCHIC Member Account on or after the Effective Date of the amended Terms constitutes your agreement to and acceptance of such amendments.

9.3 If you do not agree to the amended Terms, you must cease using your account from the Effective Date, or apply to terminate your account prior to the Effective Date pursuant to Clause 8.1.

10. Termination of the Membership Program

10.1 HEYCHIC reserves the right to terminate the Membership Program at any time (nationwide or in specific markets). HEYCHIC will notify you or make an announcement in advance, except where prohibited by law. The program will terminate on the date specified in the notice.

10.2 Upon termination of the Program, your Member Account will also be terminated, and all Status Points, Tokens, and Member Gifts will be cleared without refund or compensation, unless otherwise required by law.

10.3 Save for the provisions herein, HEYCHIC assumes no further obligations or liabilities regarding the termination of the Membership Program.

Appendix I

Definitions

Unless otherwise defined in these Terms and Conditions, the following terms and expressions shall have the meanings assigned to them in this Appendix I:

1. "These Terms and Conditions" shall have the meaning assigned to it in Clause 1 of these Terms and Conditions.

2. "Status Points" (also referred to as Growth Value) shall have the meaning assigned to it in Clause 4.1 of these Terms and Conditions.

3. "Purchase" refers to the acquisition of HEYCHIC products (excluding Exempt Items as defined in this Appendix) using Valid Payment Methods at HEYCHIC stores participating in the HEYCHIC Membership Program in Australia, or through other channels designated by HEYCHIC from time to time (if any). If you obtain a product without using a Valid Payment Method and subsequently purchase additional products, "Purchase" shall only refer to such additional products purchased.

4. "Rescinded Purchase" shall have the meaning assigned to it in Clause 7.1 of these Terms and Conditions.

5. "Tokens" shall have the meaning assigned to it in Clause 5.1 of these Terms and Conditions.

6. "Member" shall have the meaning assigned to it in Clause 1 of these Terms and Conditions.

7. "Base Conversion Rules" refers to the rounding up of the corresponding currency amount to the nearest whole number.

8. "Valid Payment Methods" refers to cash, debit cards, credit cards, and any other payment methods approved by HEYCHIC from time to time that allow for the accrual of Status Points to a HEYCHIC Member Account. "Valid Payment Methods" do not include the following:

- (1) Use of Member Gifts, discount vouchers, employee vouchers, or specific product redemption vouchers;
- (2) Barter or physical exchange of goods;
- (3) Compensations provided by HEYCHIC for dispute resolution or other reasons;
- (4) Products obtained without payment to HEYCHIC through promotional activities conducted by HEYCHIC in partnership with banks or other third-party institutions (e.g., credit card "Buy One Get One Free" promotions or credit card point redemptions);
- (5) Any other payment methods designated by HEYCHIC from time to time that are ineligible for recording Status Points to a HEYCHIC Member Account.

9. "Account Year" refers to a period of 365 consecutive days calculated from the date a user upgrades to Gold Member or directly becomes a Platinum Member. If the membership tier changes, the Account Year will be recalculated.
- Example: If upgraded to Gold on August 8, 2024, the Account Year is August 8, 2024 – August 7, 2025. If further upgraded to Platinum on March 3, 2025, the new Account Year is adjusted to March 3, 2025 – March 2, 2026.

10. "Account Anniversary Review Date" refers to the anniversary date occurring every 365 days from the date of the most recent tier change. On this date, the system will perform Status Point settlement, tier determination, and point clearing.
- Example: If Ms. Wang registered a HEYCHIC Member Account and became a Classic Member on June 6, 2024, and subsequently upgraded to Gold Member on August 8, 2024, the Account Anniversary Review Date becomes August 8, 2025 (August 8, 2024 + 365 days).

11. "Account Registration Date" shall have the meaning assigned to it in Clause 3.1 of these Terms and Conditions.

Appendix II

Member Benefits and Rewards by Tier

Upon becoming a Member in accordance with these Terms and Conditions, you will be entitled to various Member Benefits and Rewards corresponding to your Membership Tier.

1. Anniversary Rewards

Each time you complete a full year (365 days) from your registration date on the HEYCHIC platform, you will receive an Anniversary Reward, such as discount vouchers. These rewards scale and upgrade in value according to your current Membership Tier.

2. Birthday Benefits

Your eligibility to receive Birthday Benefits is contingent upon you providing and completing your birthday information in your HEYCHIC Member Account prior to your birthday (excluding the day of the birthday itself) within the current Account Year.

(1) Birthday Gift Benefit

On the date of the birthday recorded in your HEYCHIC Member Account, you will receive a Birthday Reward, such as discount vouchers. These rewards scale and upgrade in value according to your current Membership Tier.

(2) Other Birthday Benefits

HEYCHIC may, from time to time, provide additional birthday perks for specific Membership Tiers (e.g., exclusive birthday gifts for Platinum Members). Details regarding the types of perks, conditions of use, and restrictions are available on the HEYCHIC App.

3. Priority Access and Benefits

HEYCHIC may, from time to time, provide specific Priority Benefits for certain Membership Tiers (e.g., priority access to purchase designated items, priority order processing/fulfilment, etc.). Details regarding the types of priority benefits, conditions of use, and restrictions are available on the HEYCHIC App.

Additional Provisions: To the extent that any details regarding the types, specific content, issuance rules, validity periods, or conditions of use for the rewards and benefits mentioned in this Appendix II are not fully specified herein, the information and rules published on the HEYCHIC App shall prevail.
