HEYCHIC Paid Membership Service Agreement

Dear Users, Thank you for registering and using HEYCHIC Paid Membership products. To ensure a better experience with the products and services provided by HEYCHIC (collectively referred to as "HEYCHIC Paid Membership Services" or "the Services"), please read, understand, and abide by the terms of this HEYCHIC Paid Membership Service Agreement (hereinafter referred to as "this Agreement"), particularly the clauses regarding exemption or limitation of liability, applicable laws, and dispute resolution. Clauses that exempt or limit liability are displayed in bold for your attention. This Agreement is jointly concluded by you and HEYCHIC PTY LTD (hereinafter referred to as "HEYCHIC" or "we", "us", "our") and holds equal legal force for both parties. While reading this Agreement, if you do not agree with it or any of its clauses, please do not proceed to the next step or use the HEYCHIC Paid Membership Services in any form (such as checking the agreement box or making a payment). When you read and agree to this Agreement as prompted on the HEYCHIC Paid Membership activation page and complete all activation procedures, it signifies that you have fully read, understood, and accepted all contents of this Agreement to become a HEYCHIC Paid Member, and this Agreement shall take effect. If you have any comments or suggestions regarding this Agreement or HEYCHIC Paid Membership Services, you may contact us via the contact information provided herein, and we will provide necessary assistance. If you are under the age of 18, please read and confirm the terms of this Agreement in the presence of a legal guardian.

1.1 You shall ensure that you consistently maintain full capacity for civil conduct during the activation and use of HEYCHIC Paid Membership Services, and that you possess the actual capacity to sign and perform the rights and obligations under this Agreement.

1.2 Prior to activating HEYCHIC Paid Membership Services, you must complete your registration or login as a HEYCHIC Member and link verified identity information to determine your subject identity and payment status.

1.3 When applying to activate HEYCHIC Paid Membership Services, you must pay the corresponding membership service fee as prompted on the page to complete activation. Due to market and business developments, HEYCHIC may amend or alter details of benefits, fee standards, and payment methods based on the overall planning of HEYCHIC Paid Membership Services. Such modifications or changes will be displayed on the corresponding service pages. If you object to such modifications or changes during your membership term, you may contact HEYCHIC Customer Service to state your objections before the changes take effect. HEYCHIC will take necessary measures based on the circumstances, such as refunding the remaining membership service fee. For the avoidance of doubt, the refunded fee will be calculated based on the actual membership service fee you paid, minus the face value of the vouchers or benefits you have already used. If you continue to use HEYCHIC Paid Membership Services or make payments, you will be deemed to have agreed to HEYCHIC’s amendments to the aforementioned content.

1.4 HEYCHIC may offer different discounts for activating Paid Memberships at different stages based on actual conditions. Specific discount policies are subject to the information published by HEYCHIC on the relevant service pages.

1.5 HEYCHIC Paid Membership Service is a paid service provided by HEYCHIC. You must pay the corresponding fees in accordance with the pricing standards of HEYCHIC Paid Membership Services before you can use the Services. In addition, you may also enjoy and use this Service through other methods approved by HEYCHIC, such as tier upgrades. You hereby understand and agree that depending on promotional activities or membership tiers, HEYCHIC Paid Members will enjoy different value-added services, rates, or complimentary welfare.

1.6 Please note that HEYCHIC Paid Membership fees are non-refundable if you choose to cancel your subscription, give up your benefits, or terminate your membership early. Refunds will only be considered if the service is completely unavailable due to a major breach of contract by HEYCHIC, if required by law, or under special circumstances pre-approved by us in accordance with this Agreement.

1.7 You shall not activate this Service for yourself or others through any of the following methods: - (1) Activating this Service for yourself or others for profit-making, commercial operations, or other non-personal use purposes; - (2) Activating this Service for yourself or others through any robotic software, spider software, crawler software, screen-scraping software, or other programs and software; - (3) Activating this Service for yourself or others through any improper means or in a manner violating the principle of honesty and good faith; - (4) Activating this Service for yourself or others through methods not designated by HEYCHIC; - (5) Activating this Service for yourself or others in a manner that infringes on the legal rights of HEYCHIC or others; - (6) Activating this Service for yourself or others in a manner that violates relevant laws, administrative regulations, national policies, etc.

2.1 The term of HEYCHIC Paid Membership Services shall be subject to the duration you select and successfully pay for. You can also log into the corresponding page of HEYCHIC Paid Membership Services in the HEYCHIC App to query. The validity period of HEYCHIC Paid Membership Services is 365 days, calculated from the date of activation.

2.2 You understand, acknowledge, and agree that due to the special nature of internet services, the service term of HEYCHIC Paid Membership Services includes a reasonable amount of time required for HEYCHIC to resolve malfunctions, perform server maintenance, adjustments, upgrades, and handle third-party infringements. However, we will do our best to minimize any impact.

2.3 Use of HEYCHIC Paid Membership Services is limited to the personal member channels on the HEYCHIC App or HEYCHIC official website using the member card registered with your personal email.

2.4 After you activate HEYCHIC Paid Membership Services, your membership tier may be upgraded based on your top-up records and booking or check-in behaviors. Following an upgrade, you will enjoy more service experiences, subject to the content published and actually provided on the relevant service pages.

2.5 You acknowledge and agree that to ensure you fully enjoy HEYCHIC Paid Membership Services and avoid missing out on premium membership benefits, HEYCHIC may provide you with information related to membership benefits through messages, notifications, SMS, etc.

2.6 You understand and agree that after you successfully activate HEYCHIC Paid Membership Services, apart from member-exclusive services, there may still be services that require you to make an additional payment before you can enjoy them. For service content requiring additional payment, HEYCHIC will make a prompt with a prominent label. Please read the instructions on the page before purchasing.

2.7 HEYCHIC Paid Membership Service is a paid service. Any HEYCHIC Paid Membership Services obtained through non-HEYCHIC official or authorized channels (including but not limited to purchasing, renting, borrowing, sharing, or assignment), or membership services obtained by maliciously exploiting or undermining HEYCHIC membership activities, will not be protected. HEYCHIC has the right to cancel and/or refuse to provide membership services. All losses and liabilities arising therefrom shall be borne by the infringing party themselves, and HEYCHIC reserves the right to pursue liability and seek compensation.

2.8 During account registration or using HEYCHIC products and services, you may need to authorize and fill in some necessary information. If special provisions exist in national laws and regulations, you will need to fill in real identity information. If the information you fill in is incomplete, you may be unable to use HEYCHIC’s products or services or encounter restrictions during use. If you do not agree to the aforementioned authorization, please do not submit your identity information. Prior to each authorization, we will provide you with the specific types of identity information to be collected, collection purposes, recipients, and storage periods based on the requirements of laws and regulations, and will collect it only with your consent. Your choice not to provide identity information will not affect other benefits or services we provide to you.

2.9 HEYCHIC Paid Membership Service is an exclusive, non-transferable right granted to you by HEYCHIC, provided you comply with this Agreement and relevant laws and regulations. You may use it only for non-commercial purposes and for personal use only. You understand and agree that you shall not provide the account enjoying HEYCHIC Paid Membership Services to others in any manner, including but not limited to transferring, leasing, lending, sharing, or selling it to others for uses such as room bookings, reviews, or participating in activities. Otherwise, any legal consequences and liabilities arising therefrom shall be borne solely by you, and HEYCHIC has the right to suspend or terminate services to you.

2.10 Where the same entity owns multiple HEYCHIC accounts and logs in, each HEYCHIC account will be identified as an independent account. Booking records and data information between each account cannot be transferred, migrated, assigned, gifted, sold, rented, or shared, regardless of whether such accounts are owned by the same user. Please pay attention to distinguish between them when logging in and/or recharging/participating in activities to avoid losses.

2.11 You understand and recognize that you only have the right to use Tokens, Status Points, and membership services under legally obtained HEYCHIC member accounts. The ownership and intellectual property rights of the aforementioned services, products, and their derivatives belong to HEYCHIC (except for physical product ownership acquired through legal channels or unless otherwise announced by HEYCHIC).

2.12 If the account information you use to log into HEYCHIC is lost or you forget your password, rendering you unable to log in, and you need to retrieve it, you must provide corresponding information and proof according to HEYCHIC’s officially published account retrieval process, ensuring the provided information and proof are legal, true, and valid. If materials provided are untruthful or fail to meet requirements, you may fail HEYCHIC’s security verification, leading to account retrieval failure. Any associated risks and losses shall be borne solely by you. You understand that HEYCHIC requires a reasonable amount of time to act upon and process your request. Except for HEYCHIC’s statutory fault, HEYCHIC bears no liability for your losses.

3.1 You should understand that HEYCHIC membership services have a specific validity period. If you fail to meet member retention conditions or fail to reactivate upon expiry, the membership services will terminate and the corresponding member benefits will expire.

3.2 You acknowledge and confirm that after activating HEYCHIC Paid Membership Services, you waive claims for partial or full refunds of membership service fees if service termination or suspension occurs due to the following circumstances: - (1) You voluntarily cancel HEYCHIC Paid Membership Services midway, waive member benefits, or terminate your qualification; - (2) You lose, cancel, or are otherwise unable to use HEYCHIC member accounts and HEYCHIC Paid Membership Services for other reasons (we bear no liability for this); - (3) HEYCHIC actively suspends or terminates services due to a user breach of contract, requirements by national or relevant departments, force majeure events, or other scenarios dictated by laws and regulations.

3.3 The termination of this Agreement does not affect the rights and obligations generated between you and HEYCHIC based on this Agreement prior to termination.

4.1 You fully understand and agree that regarding obstacles, defects, delays, or content changes in the performance of HEYCHIC Paid Membership Services caused by the following reasons, which lead to direct or indirect losses, you understand and agree to waive the right to pursue any liability from HEYCHIC: - (1) Force Majeure factors such as natural disasters, strikes, riots, wars, terrorist attacks, government actions, or judicial/administrative orders; - (2) Public service factors such as technical adjustments or failures by telecommunications departments, or communication network failures; - (3) Faults in the software, systems, hardware, and communication lines of the user's own equipment, or the user's use of this Service in a manner not agreed upon under this Agreement.

5.1 Headings of all clauses in this Agreement are for reading convenience only, hold no actual meaning themselves, and cannot serve as a basis for interpreting the meaning of this Agreement.

5.2 Even if a clause of this Agreement becomes partially invalid or unenforceable for any reason, the remaining clauses shall still remain valid and binding on both parties.
